    This Disclaimer supplements the Terms of Service and applies to all use of the WickLog web application at https://wicklog.in ("Service"). It is governed by the laws of India, including the Securities and Exchange Board of India Act, 1992, the SEBI (Investment Advisers) Regulations, 2013, the SEBI (Research Analysts) Regulations, 2014, the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023.

    WickLog is a personal financial journaling tool designed to help retail traders maintain a record of their own trades, analyse patterns in their historical data, and improve journaling habits. It is categorically not a SEBI-regulated entity and does not provide any regulated financial service.

    No content generated, displayed, or produced by the Service — including trade analytics, performance summaries, strategy labels, Ticker AI outputs, journal prompts, goal tracking, or any other feature — constitutes, or shall be interpreted as:

    • A buy, sell, or hold recommendation in respect of any security, derivative, or financial instrument
    • A solicitation to enter into any securities or financial transaction
    • Personalised investment advice under the SEBI (IA) Regulations, 2013
    • Research analysis or a research report under the SEBI (RA) Regulations, 2014
    • Any forecast, projection, or guarantee of future returns or trading performance

    2. Ticker AI — AI-Generated Content Disclaimer

    2.1 Informational Purpose Only. The Ticker AI feature generates conversational analysis of your historical trade data using Google's Gemini large language model. All outputs are strictly informational and do not constitute regulated financial advice, securities recommendations, or research reports under any applicable SEBI regulation.

    2.2 Known Limitations of AI. Large language models can and do produce:

    • Factually incorrect or hallucinated information
    • Outdated analysis based on stale or incomplete data
    • Oversimplified pattern recognition that does not account for market complexity
    • Outputs that appear authoritative but are not verified against real-world market conditions

    WickLog makes no representation or warranty of any kind — express, implied, or statutory — as to the accuracy, completeness, reliability, fitness for purpose, or non-infringement of any Ticker AI output.

    2.3 No Access to External Data. Ticker AI analyses only the historical trade records you have entered or imported into the Service. It has no access to:

    • Real-time or delayed market prices
    • Company fundamentals, financials, or filings
    • News, macroeconomic data, or analyst reports
    • SEBI disclosures, corporate announcements, or exchange circulars
    • Any information that has not been explicitly provided by you within the Service

    2.4 Explicit Waiver. BY USING TICKER AI, YOU EXPLICITLY AND IRREVOCABLY ACKNOWLEDGE THAT:

    • You will not make any financial or trading decision based solely or primarily on Ticker AI outputs
    • WickLog shall bear zero (₹0) liability for any trading loss, financial loss, missed opportunity, or consequential harm arising directly or indirectly from any Ticker AI output or your reliance thereon

    3. Broker Integration Disclaimer — Zerodha Kite, Dhan, and Groww

    3.1 WickLog is Not Affiliated With Any Broker. WickLog has no commercial, regulatory, or promotional relationship with Zerodha Broking Limited, Moneylicious Securities Private Limited (Dhan), Groww, or any other broker whose API we integrate with. Integration is provided as a technical convenience; it does not constitute an endorsement of any broker's services.

    3.2 Read-Only Access Only. WickLog requests and maintains strictly read-only API access to your trade history. We have no ability to:

    • Place, modify, or cancel any orders
    • Transfer funds into or out of your brokerage account
    • Access margin or positions beyond what is required for historical trade record retrieval
    • Interact with your broker account in any way other than reading historical trade data

    3.3 Accuracy and Completeness of Imported Data. Trade data retrieved via the Zerodha Kite Connect API, Dhan API, Groww API, or any other broker API integration:

    • May be delayed, incomplete, or contain errors due to API limitations or broker-side issues
    • May not reflect intraday positions if the broker's API does not expose intraday trade history
    • Is not a substitute for official contract notes, account statements, or ledger entries provided by your broker
    • Must not be used for income tax computation, GST reconciliation, audit submissions, SEBI regulatory filings, or any legal proceeding without independent verification from official broker records

    3.4 No Liability for Import Failures. WickLog accepts zero liability for:

    • Data lag or delayed import from Zerodha Kite, Dhan, or any integrated broker
    • Import drops, API timeouts, or incomplete trade retrieval due to broker API downtime or rate limits
    • Financial losses, missed trades, or erroneous decisions resulting from reliance on imported data that is inaccurate or delayed
    • Any consequences arising from a broker restricting, suspending, or revoking your API access

    3.5 Broker Policy Compliance. You are solely responsible for ensuring that your connection of a broker account to WickLog complies with your broker's API terms of service. WickLog shall bear no responsibility for any action taken by your broker against your account as a result of API usage through the Service.

    4. P&L and Performance Data Disclaimer

    Profit & Loss figures and performance statistics calculated by the Service:

    • Are estimates only, based on the data you have provided or imported
    • Do not automatically account for brokerage charges, Securities Transaction Tax (STT), Commodities Transaction Tax (CTT), GST on brokerage, exchange transaction charges, SEBI turnover fees, stamp duty, or depository participant charges — unless you manually include these
    • Are not suitable for income tax computation, capital gains tax assessment, or any regulatory reporting without independent verification by a qualified Chartered Accountant
    • May differ from official P&L statements issued by your stockbroker or depository participant

    5. Market Data Disclaimer

    Any stock prices, index values, or financial data displayed within the Service are sourced from third-party providers and may be delayed, incomplete, or inaccurate. WickLog makes no warranty as to the accuracy or timeliness of such data. Do not use market data displayed in WickLog to execute real-time trades. Always verify current prices and quotes through your broker's trading platform.

    6. Platform Availability

    6.1 WickLog does not warrant uninterrupted, error-free, or secure access to the Service. Downtime may occur due to planned maintenance, technical failures, third-party service outages (Supabase, Google, Vercel), or causes beyond our control.

    6.2 WickLog is not liable for any loss or damage arising from service unavailability, data loss due to technical failure, or interruptions to broker import services.

    6.3 Maintain Independent Records. You are strongly advised to maintain your own independent records of all trading activity. Do not rely solely on WickLog as your trade record system of record.

    7. Tax and Legal Disclaimer

    7.1 WickLog does not provide tax, accounting, or legal advice. Your trading activity may have significant tax implications under Indian law (including capital gains tax under the Income Tax Act, 1961, and STT under the Finance Act). Consult a qualified Chartered Accountant or Company Secretary for tax-related guidance.

    7.2 Nothing in the Service constitutes legal advice. Consult a qualified legal professional for any legal question.

    8. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE INDIAN LAW, WICKLOG AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO:

    • Your use of, or inability to use, the Service
    • Trading or investment losses of any kind or quantum
    • Errors, inaccuracies, or omissions in trade data, AI output, or market data
    • Unauthorised access to or alteration of your data or account
    • Data loss due to technical failures, cyberattacks, or service outages
    • Platform downtime or interruptions to broker data import (Zerodha Kite, Dhan, Groww)
    • Any decision made in reliance on Ticker AI-generated content
    • Loss of profits, revenue, goodwill, or data

    WICKLOG'S TOTAL AGGREGATE LIABILITY SHALL IN NO EVENT EXCEED THE HIGHER OF (a) ₹0 (ZERO RUPEES), OR (b) THE TOTAL FEES ACTUALLY PAID BY YOU TO WICKLOG IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE DATE ON WHICH THE CAUSE OF ACTION AROSE.

    These limitations apply regardless of the legal theory advanced and even if WickLog has been specifically advised of the possibility of such damages.

    9. Governing Law

    This Disclaimer is governed by the laws of India. Disputes shall be resolved in accordance with the arbitration provisions in the Terms of Service.
