Terms of Service

    These Terms of Service ("Terms") form a legally binding agreement between you ("User", "you", "your") and WickLog ("Platform", "we", "us", "our") governing access to and use of the WickLog web application available at https://wicklog.in ("Service").

    These Terms are governed by and construed exclusively in accordance with the laws of India, including but not limited to the Information Technology Act, 2000 ("IT Act"), the Digital Personal Data Protection Act, 2023 ("DPDP Act"), the Indian Contract Act, 1872, the Consumer Protection Act, 2019, and the Securities and Exchange Board of India Act, 1992 ("SEBI Act") and the regulations framed thereunder.

    BY ACCESSING OR USING THE SERVICE, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE USE OF THE SERVICE.

    1. Eligibility and Account Registration

    1.1 Age. You must be at least 18 (eighteen) years of age and legally competent to enter into a binding contract under the Indian Contract Act, 1872. Minors are strictly prohibited from using the Service.

    1.2 Single Account. Each natural person may maintain only one registered account. Creating duplicate or fraudulent accounts to circumvent plan limits or access restrictions is prohibited.

    1.3 Google OAuth. Registration is currently available exclusively via Google OAuth. By signing in, you authorise WickLog to retrieve your Google profile information (name, email address, profile picture) solely for account creation and identity management. We do not access your Google account password.

    1.4 Account Security. You are solely responsible for all activity that occurs under your account. Notify us immediately at sachin@wicklog.in of any suspected unauthorised access. WickLog shall bear no liability for losses arising from your failure to secure your credentials.

    1.5 Broker Credentials. If you choose to connect a third-party broker account (Zerodha Kite, Dhan, or any future integration), you authorise WickLog to store and use those API credentials — encrypted at rest using AES-256-GCM — solely to perform read-only synchronisation of your trade data. You represent and warrant that you hold the right and authorisation to connect such broker account via API under your broker's applicable terms of service.

    2. Description of Service

    2.1 WickLog is a personal financial journaling and trade analytics platform that enables Indian retail investors and traders to:

    • Manually log and track equity, F&O, and commodity trades on NSE, BSE, and related exchanges
    • Automatically synchronise trade history from connected broker accounts via third-party APIs
    • Maintain rich-text trading journals with mood tagging, strategy classification, and notes
    • Analyse historical trading performance through statistics, charts, and pattern summaries
    • Access AI-powered conversational trade analysis via the "Ticker AI" feature (available under the Pro subscription)

    2.2 NOT a Financial Service. WickLog is a record-keeping and analytics tool. WickLog is:

    • NOT registered as an Investment Adviser under the SEBI (Investment Advisers) Regulations, 2013
    • NOT registered as a Research Analyst under the SEBI (Research Analysts) Regulations, 2014
    • NOT a Stock Broker, Sub-Broker, Portfolio Manager, Mutual Fund Distributor, or any other entity regulated under the SEBI Act, 1992 or any subsidiary legislation thereunder
    • NOT a Non-Banking Financial Company (NBFC) regulated by the Reserve Bank of India
    • NOT a provider of investment advice, financial advice, securities recommendations, tax advice, or legal advice of any kind

    No content generated, displayed, or output by the Service — including trade analytics, performance statistics, Ticker AI responses, journal prompts, strategy labels, or any other feature — constitutes or shall be construed as a regulated financial service or advice under any applicable Indian law.

    3. Subscriptions, Payments, and Ticker Credits

    3.1 Plans. The Service is offered on a freemium basis. The "Wicklog Pro" subscription unlocks premium features including AI Chat (Ticker AI) and automated broker sync.

    3.2 Payment Processor. All monetary transactions are processed by Razorpay Software Private Limited (CIN: U74900MH2014PTC256788; RBI-authorised Payment Aggregator), a third-party payment processor. By making a payment you agree to Razorpay's Terms of Service and Privacy Policy. WickLog does not store, process, or transmit your payment card details; all card data is handled solely by Razorpay in compliance with PCI DSS standards.

    3.3 Subscription Billing. Subscriptions are billed in Indian Rupees (INR) on a recurring basis for up to 12 (twelve) billing cycles. By subscribing, you authorise WickLog to instruct Razorpay to charge your designated payment instrument on each billing date.

    3.4 Ticker Credits. Additional AI interaction credits may be purchased on a one-time basis. Credits are:

    • Non-transferable between accounts
    • Non-refundable once purchased
    • Forfeited upon account deletion
    • Subject to a per-query deduction based on query word count

    3.5 Price Changes. WickLog reserves the right to revise subscription pricing. You will be notified at least 30 days in advance via email or in-app notice. Continued use after the effective date constitutes acceptance of the revised pricing.

    3.6 Refunds. Refund eligibility is governed exclusively by our Refund Policy, which is incorporated herein by reference. Save as expressly set out therein or as required by the Consumer Protection Act, 2019, all fees are non-refundable.

    3.7 Failed Payments. Upon payment failure, WickLog reserves the right to immediately downgrade your account to the free tier until successful payment is received.

    4. Acceptable Use

    4.1 You agree to use the Service only for lawful purposes and in accordance with this Agreement, our Acceptable Use Policy, and all applicable Indian laws and regulations.

    4.2 Prohibited Conduct. You must not:

    • Use the Service for any purpose that violates the IT Act, 2000, the SEBI Act, 1992, Prevention of Money Laundering Act, 2002 (PMLA), or any other applicable law
    • Attempt to gain unauthorised access to any system, network, account, or data in connection with the Service (prohibited under Section 43 and Section 66 of the IT Act, 2000)
    • Reverse engineer, decompile, disassemble, or attempt to extract the source code or algorithms of the Service
    • Deploy bots, scrapers, or automated data-extraction tools against the Service without written authorisation
    • Upload, transmit, or distribute malware, ransomware, viruses, or any malicious code
    • Impersonate any person, entity, or falsely represent your identity or affiliation
    • Use the Service to facilitate, conceal, or promote insider trading, market manipulation, circular trading, front-running, or any other violation of securities laws
    • Share, sublicense, or commercially resell access to the Service without written consent from WickLog
    • Circumvent any account restriction, rate limit, or security control

    4.3 Broker API Compliance. You are solely responsible for ensuring your use of third-party broker APIs through the Service complies with your broker's applicable terms of service. WickLog accepts no responsibility for any consequences arising from your broker restricting, suspending, or revoking your API access.

    5. Third-Party Broker Integrations — Specific Limitations

    5.1 Zerodha Kite. The Zerodha Kite integration uses the Kite Connect API operated by Zerodha Broking Limited (SEBI Registration: INZ000031633). WickLog:

    • Has no affiliation with or endorsement from Zerodha Broking Limited
    • Cannot guarantee API availability, data freshness, or completeness of trade data retrieved
    • Is not liable for any data lag, synchronisation failures, missed trades, incorrect position data, or financial losses arising from the Zerodha Kite integration

    5.2 Dhan. The Dhan integration uses APIs operated by Moneylicious Securities Private Limited (trading as Dhan; SEBI Registration: INZ000015837). WickLog:

    • Has no affiliation with or endorsement from Dhan
    • Cannot guarantee the accuracy or timeliness of trade data retrieved via the Dhan API
    • Is not liable for any API downtime, sync drops, data inaccuracies, or financial losses arising from the Dhan integration

    5.3 General Broker Disclaimer. Trade data synchronised from any connected broker:

    • May be delayed, incomplete, or contain errors
    • Must not be used as the sole source of record for income tax filings, audit purposes, regulatory submissions, or legal proceedings
    • Should always be cross-verified against official contract notes and account statements provided by your broker
    • Reflects only the data available at the time of the last successful sync

    5.4 Read-Only Access. WickLog requests and maintains exclusively read-only access to your trade history. We have no ability to place orders, modify positions, cancel orders, transfer funds, or take any other action within your brokerage account.

    6. AI-Generated Content — Ticker AI

    6.1 Nature of Output. The Ticker AI feature uses Google's Gemini AI model ("Gemini") to generate conversational analysis of your historical trade data. All outputs are strictly informational and do not constitute investment advice, a securities recommendation, or any form of advice regulated under the SEBI Act, 1992 or the SEBI (Investment Advisers) Regulations, 2013.

    6.2 No Accuracy Guarantee. AI language models are known to produce inaccurate, incomplete, outdated, or hallucinated information. WickLog makes no representation or warranty as to the accuracy, completeness, or reliability of any Ticker AI output.

    6.3 Data Transmission. Ticker AI transmits your trade records, P&L figures, calculated statistics, and conversation history to Google's Gemini API for processing. By using Ticker AI, you expressly consent to this transmission. Google's processing of API data is governed by Google's Privacy Policy and Google's enterprise API terms.

    6.4 Sole Responsibility. All investment, trading, and financial decisions remain your sole responsibility. WickLog expressly disclaims all liability for any trading losses, financial damages, or consequential harm arising from reliance on Ticker AI outputs.

    7. Intellectual Property

    7.1 WickLog's IP. The Service, including its design, source code, algorithms, branding, trademarks, and all associated content, is the sole intellectual property of WickLog and its licensors, protected under the Copyright Act, 1957 and the Trade Marks Act, 1999 of India, and applicable international conventions. No licence, right, title, or interest in WickLog's intellectual property is granted by these Terms.

    7.2 User Content. You retain full ownership of all trade data, journal entries, notes, and other content you create within the Service ("User Content"). By submitting User Content, you grant WickLog a limited, non-exclusive, royalty-free, revocable licence to store, process, and display your User Content solely to provide the Service to you. This licence terminates automatically upon account deletion.

    7.3 Feedback. Any suggestions, feature requests, or feedback you provide to WickLog may be used by us in any manner without any obligation to compensate you.

    8. Privacy and Data Protection

    Your personal data is processed in accordance with our Privacy Policy, which complies with the Digital Personal Data Protection Act, 2023, the IT (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, and other applicable Indian data protection law. The Privacy Policy is incorporated into and forms part of these Terms.

    9. Disclaimers

    9.1 "As Is" Basis. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WICKLOG EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE INDIAN LAW.

    9.2 Market Data. Any stock prices, index values, or other market data displayed within the Service are sourced from third parties and may be delayed or inaccurate. WickLog makes no warranty as to the accuracy or timeliness of such data.

    9.3 Service Continuity. WickLog does not warrant uninterrupted, error-free access to the Service. The Service may be unavailable due to planned maintenance, technical failures, or third-party service outages.

    10. Limitation of Liability

    10.1 Exclusion of Consequential Loss. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE INDIAN LAW, WICKLOG AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND LICENSORS SHALL NOT BE LIABLE — WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY, OR OTHERWISE — FOR:

    • Any indirect, incidental, special, consequential, exemplary, or punitive damages
    • Trading losses, investment losses, or loss of profit of any nature or amount
    • Loss of revenue, data, business opportunity, or goodwill
    • Damages arising from unauthorised access to, alteration of, or corruption of your data
    • Losses arising from reliance on AI-generated content produced by Ticker AI
    • Any loss resulting from broker API downtime, sync drops, data lag, or data errors from Zerodha Kite, Dhan, or any other integrated broker
    • Damages resulting from service unavailability, maintenance windows, or force majeure events

    10.2 Aggregate Cap. WICKLOG'S TOTAL AGGREGATE LIABILITY TO YOU, ARISING FROM ANY AND ALL CAUSES OF ACTION RELATED TO THESE TERMS OR THE SERVICE, SHALL NOT EXCEED THE HIGHER OF:

    (a) ₹0 (ZERO RUPEES); OR (b) THE TOTAL FEES ACTUALLY PAID BY YOU TO WICKLOG IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE DATE ON WHICH THE CAUSE OF ACTION FIRST AROSE.

    For the avoidance of doubt: Users on the free plan who have made no payments to WickLog shall have a maximum liability cap of ₹0 (Zero Rupees). WickLog shall bear no monetary liability whatsoever to such users.

    10.3 Essential Basis. The limitations in this Section 10 reflect a fundamental allocation of risk and form an essential basis of the bargain between the parties. These limitations apply regardless of the form of action, the legal or equitable theory advanced, and even if WickLog has been advised of the possibility of such losses.

    10.4 Statutory Rights. Nothing in these Terms excludes or limits liability for death or personal injury caused by WickLog's negligence, or any liability that cannot be excluded under mandatory provisions of the Consumer Protection Act, 2019 or any other applicable mandatory Indian law.

    11. Indemnification

    You agree to indemnify, defend, and hold harmless WickLog, its affiliates, officers, directors, employees, contractors, agents, and licensors from and against any and all claims, suits, proceedings, liabilities, damages, losses, fines, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party right, including any broker's API terms; or (e) your User Content.

    12. Suspension and Termination

    12.1 By You. You may delete your account at any time from the Settings page. Your personal data will be deleted in accordance with the Privacy Policy following account deletion.

    12.2 By WickLog. WickLog reserves the right to immediately suspend, restrict, or permanently terminate your account — with or without prior notice — if we have reasonable grounds to believe you have violated these Terms, applicable law, or for any other reason at our sole discretion. For non-egregious first-time violations, we will endeavour to notify you and provide an opportunity to remedy the breach.

    12.3 Effect. Upon termination, all rights granted to you under these Terms immediately cease. The following Sections survive termination: 2.2, 5, 6.4, 7, 10, 11, 14, and 15.

    13. Grievance Redressal

    In accordance with the Information Technology Act, 2000 (Rule 3(11) of the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021) and the Digital Personal Data Protection Act, 2023, a Grievance Officer has been designated. Users may contact the Grievance Officer for any complaints or concerns:

    14. Governing Law and Dispute Resolution

    14.1 Governing Law. These Terms shall be governed by and interpreted in accordance with the laws of India, without reference to its conflict of law rules.

    14.2 Jurisdiction. Subject to Section 14.4, disputes shall be submitted to the exclusive jurisdiction of the courts located at Gangtok, India.

    14.3 Informal Resolution. Before initiating any formal proceeding, you agree to contact WickLog at sachin@wicklog.in and attempt to resolve the matter in good faith for a minimum period of 30 days.

    14.4 Arbitration. If informal resolution fails, the dispute shall be referred to and finally resolved by binding arbitration administered under the Arbitration and Conciliation Act, 1996 (as amended) by a sole arbitrator mutually agreed upon by the parties. The seat of arbitration shall be Gangtok, India. The language of arbitration shall be English. The arbitral award shall be final and binding.

    15. Miscellaneous

    15.1 Entire Agreement. These Terms, together with the Privacy Policy, Cookie Policy, Refund Policy, Disclaimer, and Acceptable Use Policy, constitute the entire agreement between you and WickLog with respect to the Service.

    15.2 Severability. If any provision is held invalid, illegal, or unenforceable by a competent court, the remaining provisions shall continue in full force and effect.

    15.3 Waiver. Failure by WickLog to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision or any other provision in the future.

    15.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without WickLog's prior written consent. WickLog may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets.

    15.5 Force Majeure. WickLog shall not be held liable for any failure or delay in performing its obligations where such failure or delay results from causes beyond its reasonable control, including acts of God, natural disasters, war, government action, internet or power outages, or cyberattacks.

    15.6 Amendments. WickLog reserves the right to amend these Terms at any time. Material amendments will be notified at least 14 days before they take effect via email or prominent in-app notice. Continued use of the Service after the effective date constitutes acceptance of the amended Terms.
